New York Biennial Statement Filling for LLCs and Corporations Registered in NY
If you have a domestic or foreign (out of state or out of country) Limited Liability Company (LLC), Corporation (C or S) or Partnership (LP, LLP or LLC) registered in New York, you are required to file a Biennial Statement updating information with the Department of State every two years. This form is no longer sent to you in the mail. It is your responsibility to go online to update the information and pay the $9 fee every two years. Please keep in mind the Biennial Statement is different than Form IT-204-LL that is due every March 15th. You can file and pay your Biennial statement by visiting: https://filing.dos.ny.gov/eBiennialWeb/ Be sure to add your email address before submitting the filing so you will receive notification for future statements due. Acceptable forms of payment are credit or debit cards.
In order to use the NY E-Statement Filing System, you will need to know the complete Business Name and DOS ID Number of your entity. If you do not have this information, you can use The NY Division of Corporations “Search Our Corporation and Business Entity Database” by visiting: https://apps.dos.ny.gov/publicInquiry/ Once in the database, enter the Entity Name and check one box from the Entity List, then click the green “Search the Database” button on the right. Once the Entity Search Results page comes up, click on your entity for more details. On the Entity Information page, you will see your “Statement Status” and “Next Statement Due Date”. If you want to check your entire filing history, click on “Filing History” on the blue bar and this will show you when you last filed the Biennial Statement.
Please note, if you receive a "2021 - Biennial Statement Instruction Form" with request for a payment of more than $9, you may not want to use that form. While it may not be a scam, you will pay a lot more than necessary. Instead, visit the NY website listed above to file and pay the $9 fee directly to NY. If you add your email address before submitting the payment, you will receive the receipt via email.
If you are considering closing your business in NY, all filings must be up-to-date before NY will consent to the dissolution.
